If simply - the one who will implement the project.
The options can be different, for example, the Account manager collects the Wishlist from the customer, then transfers it to the project manager, he, together with the team, forms the TOR. The customer reads, discusses with the Account manager and the scheme is repeated until the parties are completely satisfied. As a rule, the procedure is paid. Some funny people do it for free, but such a TK will most likely be a bunch of useless text about nothing.
Alternatively, 2 companies. 1 implements the project, the second performs the audit. Here the scheme is more complicated, but there are more guarantees for a quality product and a higher cost.
Or maybe 1 developer and he and the customer make up the TOR.
It should be understood that TK can have a lot of options, from text to graphic. The more complex the project, the more detailed the TOR should be. And vice versa, only an oligophrenic or a bureaucratic company requires technical specifications for the layout of 2 lines of code.

TK is essentially the customer's Wishlist described in the form of a "black box", i.e. conditionally consists of three points:
1. Input data
2. Output data
3. Conversion functions
Ideally, the TK is made by the customer, but as Maxim Timofeev writes, you can hire a third-party company . In this case, the cost of writing high-quality technical specifications may exceed the cost of development.
