Registration of your company

Recently finally matured for the registration of his company as LLC. Since the scope of offers is planned to be large (development of mobile applications, web design, media promotion, contextual advertising, etc.), I intend to register as an advertising agency. I do not plan to rent an office at the initial stage - everything is outsourced.

Actually, the question is where to start and how much it costs. First of all, the following points are of interest:

- the cost of services for registering an LLC
- the procedure for registering a company
- what to do with a legal address if there is no office, but at home. Is it possible to register an address?
- what to write in the charter if the company's activities include application development, design, and promotion?
- how often will it be necessary to travel to various authorities after registration?
- is it worth hiring an accountant at the initial stage, if so - how much do the services of an "incoming" accountant cost and what will be needed from the general director and founders in terms of filling out documents and walking around state-owned houses?

Country of registration - Russia. Moscow city.
The choice of LLC is justified by the fact that I will not be the only founder.

I beg you to help with advice, links and addresses. I am sure that the answers to these questions will help not only me, but also many who are already ready to start working for themselves, but have never encountered anything like this and do not know where to start.

> - the cost of services for registering an LLC
Independently or how? If by yourself, then - ~ 7-8 thousand, depending on the cost of notary services.
If through a company. then we add 2-5k depending on the arrogance of the office :)
> - the procedure for registering a company
First, we prepare all the information (name of the company, press, who is the CEO, activities, and so on), then we prepare the docks (there are a lot of them, ~ 10 names) , after that we go to the notary, certify the signature, pay the state duty (4k), carry the docks (+ receipt of payment of the fee) to the tax office, wait, wait, wait. We make a seal, set up a current account, not forgetting the authorized capital.
Everything, profit!
> - what to do with a legal address if there is no office, but at home. Is it possible to register an address?
No relatives/friends? The main thing, EMNIP, is to receive a letter that checks the validity of the address. No one will come to check on you.
> - what should be written in the charter if the company's activities include application development, design, and promotion?
So write, the nomenclature is not used in the charter, you can write in free language.
> - how often will it be necessary to travel to various authorities after registration?
It depends on a lot. At least tax (well, or EDS), bank, printers (those who make prints). + to this FIU, the Fed is optional. Well, let's talk about activities.
> - whether it is worth hiring an accountant at the initial stage is up
to you to decide, do not feel sorry for your time - it's not worth it, it's a pity to spend a couple of days a quarter - hire.
> then how much the services of an "incoming" accountant cost
2k + / month, I have not seen less. Monjo really trust some Elbe or My Cause. You decide.
> and what will be needed from the general director and founders in filling out documents and walking around state-owned houses?
at least a signature/seal. There will be no need to go anywhere, with outsourcing everything is put on stream.

I see no reason to register LLC through a company.
The firm will make you a) documents; b) bring you by the hand to the notary and to the tax office; and c) take the documents from all kinds of funds.
Documents are made by a document expert www.documentoved.ru/ for 500 rubles - everything is fine there, verified by tens of thousands of registrations, and most likely better than in the average reg. firm. When processing documents, double-check all the information entered ten times, especially postal codes, dates, etc. - where you can accidentally seal. During registration, the tax office almost does not check this data, it enters it as filed - well, you will get a time bomb at the output in the form of incorrect data in the Unified State Register of Legal Entities. How the registration company will check your data is a question.
You still need to go to the notary and the tax office, unless the company has a pocket notary who comes to the office of this company. A “friendly” notary is bad because he trusts the company and just wave. An independent notary carefully checks all the data, for example, we caught 5 errors, ran reprinted the form. Also, a notary should immediately certify a copy of the protocol on the appointment of the gene. dira (and hide it without showing the tax). It will be very useful when you go to a serious bank, get involved in large tenders, etc. - and there will be no place to take it.
Yes, with self-registration, the CEO will have to run through the tax and funds once, but after the start of the company, he will have to run there many more times. So at least he will find out where it is, when it works, phones and everything else, so this time will be credited to him.
In total, self-registration takes 2-3 weeks, but there are a couple of hours a day, and even then not everyone.
Prepare a stack of 500 sheets of paper and the appropriate amount of toner in the printer.

About registration. Look at the Elbe (e-kontur.ru). They have recently registered an LLC (jointly done with someone).

It is better to order registration somewhere, it costs up to 10k rubles.
With a legal address, select any business center and arrange with them to receive mail.
Choose a bank where you do not need to provide papers on the legal address (lease agreement or office ownership).
Accounting is really easier to keep an incoming accountant than yourself in the Elbe or my business.

If you decide to do ooo, I will advise the company "Curator" - a few acquaintances regild through them - everything is ok. "Turnkey" costs 9250r. + 1000-1500 - notary. You can also pay Rs 1000. for regu in funds (PFR, FSS, F / TFOMS).
You can also buy a legal address there - from 11k/year with mail forwarding.
Once regil LLC himself and, in my personal opinion, it is better to order everything on a turnkey basis - come to the office twice - order and pick up all the docks.
Now about oooh. Do you expect a stable stream of income immediately after opening? If not, think carefully, is it worth such a mess (quarterly reports, taxes on salaries, employees (and the CEO is already an employee), accounting, difficulties with withdrawing the cache, etc.p.p.p.)?
It is important to understand that all the money of the LLC belongs to the legal entity, and not to the founders, and in order to withdraw it to the cash
, either the withdrawal after paying all taxes through dividends (+ 9%) once a quarter (more often, bukhs are not recommended), or through the left offices — but what for is a start-up company?
If you trust each other, maybe you should try IP first? (6% tax on income / funds 16k times a year, cash can be withdrawn immediately - without any justification). And when you reach the mark of 200-300-400k profit, you can think about reg oooshki.
