Do I understand Windows Server Standard + VMWare licensing correctly in my case?

Question about server licensing.
Do I understand correctly - having a Windows 2012 Server Standard license, I can install Windows 2008 Server Standard (by downgrade) on a physical server and use it as a 1C server and SQL server. On the same physical server, install VMWare Server 2.0 (free software) as a virtualization environment and run a Win2008 Server Standard virtual server with domain controller, DNS, DHCP roles?
