What form of organization and country to choose for the official registration of a small it start-up?
Good day.
A friend and I are developing a small service for constructing programs. Rather, so far as a hobby, rather than a real alternative to work. However, I already want to slowly start monetizing.
We began to study various forms of business organization in Russia and abroad and got bogged down in details.
What you want - LLC (that is, limited liability), with small profits, give little money to the state (i.e. If you don’t want to give 50,000 income, for example, 30,000 a year), the possibility of easy interaction with authorities, preferably via the Internet .
I’ll make a reservation right away that the option is not to draw up a legal entity. we do not consider the face. Those. I want a completely white scheme.
Question - what do you recommend? If an LLC is in Russia, then how to register yourself? As employees? But then you have to at least pay the minimum wage. Abroad? In what jurisdiction? What taxes? What are the pitfalls?
Thanks in advance!

IMHO, it's easier all the same IP on the USN.
20 thousand insurance premiums a year and that's all, if the profit is small
once a year one declaration,
no accounting, etc. do not take garbage
from employees if possible - minus PFR, minus FSS
a very simple life,
well, Elba for new SPs will get for free for a whole year, including sending reports via the Internet
if LLC is about 70 pieces of paper per year (reports and payments) in the simplest scenario
plus accounting, collecting, storing, checking every three years with a high probability and all that.
well, and an accountant (coming, for example) or to delve into balance turnover, chart of accounts, postings and similar delights of classical accounting
Of course, I have never been an expert, but I think you can form an LLC somewhere in Delaware, USA and pay taxes in Russia, since we have an agreement with the USA against double taxation.
With an income of 30,000 rubles, you should not think about opening a company. It just won't pay off.
Priorities when choosing a jurisdiction:
- from which jurisdictions will you be paid? (They should be as comfortable as possible, otherwise you will face monetization problems)
- tax base
- legal expenses for the cost of registration and support
- will you attract investments, venture capital? (then there are few places left)
- do you need intellectual property protection?
- How do you want to register employees? (contracts with an external legal entity or keep a local organization)
- will you use intermediaries? Aggregators, payment services, mobile payments, etc.? Some have restrictions, including your actual location (registration in the country may not help)
And, finally, it is necessary to actively follow the legislation of the Russian Federation (and this is very annoying), since it is currently unstable. See laws against offshore companies.
If you conscientiously approach the analysis of parameters, you can generally hang out, sometimes this whole jur. departments are doing. In practice, it is easier to open an LLC on the simplified tax system, do not pay salaries for the first year, then the minimum wage, and then look where your customers are.
