Is it possible to register an LLC for two founders, if one of them is abroad and he does not have the opportunity to be present?
My friend and I want to start an online agency. According to our plan, she is an art director and designer, I am the general director. We will divide the shares 51/49. But I am in Russia, and she is in Goa. It is expensive and long for her to fly to Russia, and the question arises about the possibility of her participation in the registration of an LLC and the distribution of shares.
Is this possible, and if possible, how will this procedure differ from the usual one?

2. If a friend has an IP left, then her IP can do it. It is only necessary to issue a power of attorney retroactively (so that someone signs for it and stamps it). Then this individual entrepreneur can participate in the establishment of an LLC and be its shareholder
3. Find a nominal participant , for example, a close relative or best friend, who will be a member of the LLC instead of her and will simply carry out instructions.
The main issue here is that the LLC participant needs either to be personally present when submitting an application to the tax office, or it is necessary for a notary to certify the signature. I proceeded from the fact that no one in Russia has a power of attorney from your girlfriend, with whom it would be possible to perform such actions.
What is the point of such torment, well, let everything be framed for you.
Globally, the opening of an LLC costs 10,000 rubles on a turnkey basis. If she or you want to squeeze someone out of LLC, then a new LLC opens and clients are transferred to it and shit on any shares in the old LLC, even the name can be used almost the same.
The problem is not worth a damn, but under 2 conditions.
1. Your co-founder must also be a citizen of Russia
2. not apply for the role of director or head. new accountant.
Strictly speaking, (in practice, not by law) only the personal presence of the applicant is required, who usually becomes the general director.
Call five law firms in your city, explain the situation and, I'm sure, half of them will take up registration on such conditions. Documents from Goa are easily sent in the form of scans or faxes :-)
