How to put previously developed software on balance?
Hello.
In our small company, the following situation arose:
- over the past year, together with partners, we have been developing software without being co-founders
- now a company is being created to promote software on the market
- it is necessary to put the software on the balance sheet and transfer the exclusive rights to the created company
At the moment, I found out what is possible:
- all authors to be hired with appropriate job descriptions, which will include the types of work that we have done in developing the software.
- give everyone a task in writing for the development of software
- after completing the task, accept the results on CDs and with a description of the author what was developed and how it works
- as a result, the software belongs to the Company.
Tell me, please, how best to implement the task of transferring the rights to the software to a newly formed company. Thanks in advance for your valuable advice and your time.

Your option is good if the software you developed was not shown anywhere before the creation of your new company. If information about your software has already appeared somewhere before the creation of your new company, and if there is a risk that someone (hypothetically) can take advantage of this, then it is better to formalize the transfer of rights to the software in the form of a founding contribution to the new company. Moreover, as I understand it, all software authors are also the founders of a newly created company.
