How to conclude a contract for software development?
The service is planned to be developed. I would like to know (especially from those who had experience in this matter) how to conclude a contract for the development of a service? The problem is that freelancers are physically far away + a service company will open closer to the end of development, and as I understand it, such contracts cannot be concluded between individuals (I hope I'm wrong and it's possible after all). Agreement on the complete transfer of all rights to the code and design.

Anton, such agreements can be concluded between individuals, of course. If you are the customer, then you conclude an agreement with the contractors you are interested in for the development of the software you are interested in with a mandatory clause in it on the transfer of the exclusive right to all the results of work under such an agreement to you as the customer. After you receive the finished software and the rights to it, you will be its copyright holder, you can then transfer the rights to it to the future company from yourself.
In the contract, the main thing is to clearly describe the subject of work and the procedure for their implementation (the more detailed the TOR, the better), the procedure for transferring rights to results and payment. The same applies to design contracts. As for taxes, you, being an individual customer (not an individual entrepreneur), are not obliged to pay any tax for your performers, they must independently resolve the issue of taxes on their income under your contracts.
