How to arrange cooperation with an investor?
Hello.
We need help in building a legal structure with an investor.
An investor invests money in the development of a project (game), we (the developer company) use this money to create a project, and then we divide all the profits from the sales of this project between ourselves and the investor 50/50, but only after the investment is returned.
At the same time, we build all relationships with the publisher, because the investor is not specialized and fully trusts us in making decisions.
But the question arises of how best to formalize our partnership with an investor in order to exclude options for deceiving any of the parties? Namely, so that both parties can track any profit from the project.
I would not want to enter the same LLC with the investor for two reasons:
1. There is no convenient way to freely manage money every month.
2. The investor has a theoretical opportunity to carry out various frauds through the LLC, incl. illegal, and we, willy-nilly, will be accomplices.
Therefore, I would like to get by with contracts.
I contacted several lawyers, but they turned out to be either incompetent in matters of IT and / or intellectual property, or they don’t want to speak a word without money, and the payment is hourly with a rate of 5000 rubles / hour. We are ready to pay for the work of a lawyer in drafting contracts, but not for a pig in a poke.

There is no legal mechanism for protecting investment transactions in the Russian Federation. You can only get closer to the analogue, operating with loans, agreements of intent, etc. But there are only a few such lawyers, and it will cost significantly.
They use offshore as a standard, everything is worked out there and on stream.
It is also interesting how an investor in this situation can protect his rights (being in the legal field of the Russian Federation?), Considering that he competes with the publisher for who to fight back in the first place.
