How is Windows Server 2008 R2 licensed?

Installed licensed Windows Server 2008 Standard SP2. I want to upgrade to R2.
1. Will I need to purchase a new license to upgrade to R2?
2. Can R2 be installed on top of the system or will you have to do everything from scratch?

You will need to buy Win Server 2012. Others are no longer sold, but under this license you can use all versions below.
Installation from scratch...
